This is a notoriously difficult area with a real lack of clarity in HMRC’s published views. Almost all transactions in property (some not obviously so!) can be caught and careful planning is required. Changes in partnership compositions where the partnership owns land or property can result in an SDLT liability even though there is no formal transfer of land or property.
