Family friendly demerger with cost benefits for all
The construction industry is facing enough trials and tribulations as it is and family businesses have their own unique issues. Our client, a well established family business with multi million pound assets, was recently broken up between the family members. Our commercial and tax input assisted in allowing a complicated group of companies and partnerships to be demerged paying particular attention to ensure tax efficiency and minimum disruption of the ongoing trades. We also played a key role in successfully negotiating and raising finance.
Getting the structure right and maximising tax savings
By listening and seriously understanding our clients we are better able to help. Our in-depth commercial experience enabled us in this instance to advise and assist a local IT company to restructure their business for tax and commercial purposes. We demerged the business into two separate companies that made them more efficient and better able to meet the demands of their market. We then also assisted them in raising additional finance by obtaining EIS status for the company and in obtaining third party investment. They are now in a strong and fit position to grow and meet the challenges ahead.

Raising finance is a new challenge to many, and negotiating realistic terms that will carry you through in the long term can’t be underestimated. In the demanding economic climate of 2009 we played a key role in preparing and presenting to banks on behalf of a building client. Ultimately we succeeded in raising the necessary funding for this sizeable builder developer firm enabling them to continue with existing operations but also take on new opportunities.

Retail: We played a role in the planning, organisation and set up of a major new retail operation in the Scottish Borders, including the recruitment of key personnel. Thereafter we helped devise, implement and monitor the management systems.
Printing: Acting in close conjunction with the management team we have been involved in the rapid expansion of a printers firm including input with regard to investment and recruitment decisions, a premises move and all the funding requirements with banks as well as other funding bodies.

Retail: In recent times we have been consulted regarding the purchase of a retail outlet and assisted with preparing plans and finances.
